1. INTRODUCTION

These Website Terms of Use govern your access to and use of the Consumer Cellular website, including pages, features, tools, account-management functions, shopping and checkout flows, support resources, promotions, and other online services that link to these Terms. Capitalized terms shall have the meaning ascribed to them below.

By accessing or using the website, you agree to these Terms, which govern your access to and use of the website. Your use of certain products, wireless services, account features, promotions, or purchases may also be governed by additional terms, including Consumer Cellular's Wireless Customer Agreement, Privacy & Security Policy, Acceptable Use Policy, return policies, product warranties, device-protection terms, and offer-specific terms. If additional terms apply to a product, service, or feature and conflict with these Terms, the additional terms control solely with respect to that product, service, or feature; in all other respects, these Terms govern your access to and use of the website.

For information about how Consumer Cellular collects, uses, discloses, and protects personal information, please review Consumer Cellular’s Privacy & Security Policy. By using the website, you acknowledge that Consumer Cellular may collect and use information as described in that policy.

2. DEFINITIONS

In these Terms, capitalized words not otherwise defined have the meanings given below or where they are first used.

“Consumer Cellular,” “Company,” “we,” “our,” and “us” mean Consumer Cellular, Incorporated and its predecessors in interest, successors, parents, subsidiaries, affiliates, and assigns, as well as each of their respective past, present, and future employees, directors, officers, agents, representatives, contractors, and shareholders.

“Content” means text, images, graphics, photographs, audio, video, software, code, tools, features, product information, service information, pricing information, support materials, reviews, testimonials, trademarks, logos, and other materials made available on or through the website.

“Additional Terms” means any other agreements, policies, disclosures, notices, rules, or terms that apply to particular products, wireless services, accounts, purchases, promotions, applications, features, or other offerings from Consumer Cellular.

“Our Content” means the website, the Content made available by or on behalf of Consumer Cellular, and any intellectual property, software, technology, tools, designs, pages, templates, interfaces, and materials owned, licensed, or provided by or for Consumer Cellular.

“Products” means phones, tablets, smartwatches, accessories, home phone equipment, medical alert devices, SIM cards, and other products made available for purchase or order through the website.

“Website” means consumercellular.com and any Consumer Cellular webpages, online account-management tools, shopping and checkout flows, support resources, features, and related online services that link to these Terms.

“Terms” means these Website Terms of Use, as updated from time to time.

“You” or “you” means the person accessing or using the Website, or, if that person is acting on behalf of an organization, that organization.

“Your Content” means any Content you submit, upload, post, transmit, provide, or otherwise make available to Consumer Cellular through the Website, including reviews, feedback, comments, questions, requests, forms, submissions, and other materials.

3. YOUR RELATIONSHIP WITH US

3.1. What you can expect from us.

Website. Consumer Cellular provides the Website to help users learn about Consumer Cellular, review plans and coverage information, shop for products and services, manage accounts, make payments, access support resources, and interact with Consumer Cellular online.

Website changes. We may update, modify, suspend, discontinue, or restrict access to the Website or any part of it at any time. We may also correct errors, update Content, change product or service information, and add or remove features without notice, subject to applicable law and any Additional Terms.

If Additional Terms apply to a particular product, service, account, offer, or feature, those Additional Terms will control for that product, service, account, offer, or feature if there is any conflict.

Provide accurate information. If you provide information through the Website, you agree to provide information that is accurate, current, and complete. You are responsible for updating information associated with your account, orders, payments, and communications with Consumer Cellular.

Feedback. If you submit comments, feedback, ideas, or suggestions to Consumer Cellular, you agree that Consumer Cellular may use them without restriction and without notice, payment, or obligation to you.

Pay charges you authorize. If you purchase Products, activate services, make payments, or complete transactions through the Website, you agree to pay all applicable charges, taxes, fees, and other amounts disclosed to you or required by applicable Additional Terms.

Your representations. By using the Website, you represent and warrant that:

  • you have the rights and ability to enter into these Terms;
  • your use of the Products and performance under the Terms won’t violate any third party’s rights, applicable laws, or third-party terms;
  • your use of the Website will be consistent with these Terms and any Additional Terms.
4. USING THE WEBSITE

4.1. Age Requirements.

You must be at least 18 years old to create an account, place an order, activate service, or otherwise enter into a binding agreement with Consumer Cellular. If you use the Website on behalf of another person or entity, you represent that you are authorized to do so.

4.2. Your Account.

You may need an account to access certain Website features. You are responsible for maintaining the confidentiality of your username, password, and other credentials, and for all activity that occurs through your account. If you believe your account credentials have been lost, stolen, or used without authorization, please contact Consumer Cellular promptly.

4.3. Authorized Entities. If you access or use the Website on behalf of another person, company, organization, or other entity, you represent that you have authority to bind that person or entity to these Terms and any applicable Additional Terms.

4.4. Products.

You may use the Website to review, order, or purchase Products and services only in accordance with these Terms and applicable Additional Terms. Products, services, plans, offers, pricing, and availability may change at any time. We may impose quantity limits, reject or cancel orders, require additional information, correct errors, or discontinue Products, services, plans, or offers, subject to applicable law and any applicable Additional Terms.

Website orders are generally for personal or authorized account use. If you are interested in business, resale, bulk, or other non-standard purchasing arrangements, you should contact Consumer Cellular before placing an order.

Charges, taxes, shipping, and delivery information may be shown during checkout or otherwise disclosed in applicable Additional Terms. Delivery dates are estimates unless expressly stated otherwise. We are not responsible for delays caused by carriers, suppliers, payment processors, address errors, inventory constraints, events beyond our reasonable control, or other circumstances outside our control, except as required by law.

Returns, cancellations, refunds, exchanges, warranties, and device support are governed by the applicable Additional Terms and policies. Products purchased through third-party retailers or channels may be subject to the terms and policies of those third parties.

Product, service, plan, coverage, pricing, promotion, and availability information may not always be complete, current, or error-free. We try to present information accurately, but we do not warrant that Website Content is accurate, complete, current, or free of typographical, technical, or pricing errors. We may correct errors and update information at any time.

You agree that you are authorized to use any payment method you provide. You authorize Consumer Cellular and its payment processors to use payment information you provide to complete transactions, process payments, verify information, prevent fraud, and otherwise provide the applicable products or services, subject to Consumer Cellular’s Privacy & Security Policy and applicable law.

4.5. Communications.

Notifications and Messages. If you provide contact information or opt in to receive communications from Consumer Cellular, you may receive transactional, account, support, marketing, promotional, or other communications as permitted by law and applicable Additional Terms. Message and data rates may apply to mobile communications. You are responsible for keeping your contact information current.

If you change or deactivate a telephone number or email address associated with your account, you are responsible for updating your information, so communications are not sent to someone else.

You may be able to manage certain communication preferences through your account, by following instructions in the communication, or by contacting Consumer Cellular, subject to transactional, service, legal, and account-related communications that may be required or permitted by law.

4.6. Using the Website Responsibly.

You are responsible for your use of the Website. You agree to use the Website only for lawful purposes and in a manner that does not interfere with the Website, other users, Consumer Cellular, or any third party.

The Website is controlled and operated from the United States. We do not represent that the Website or any Content is appropriate or available for use in every jurisdiction. If you access the Website from outside the United States, you do so on your own initiative and are responsible for compliance with applicable laws.

To protect the Website, Consumer Cellular, and other users, you agree to follow these rules.

You WILL:

  • treat Consumer Cellular personnel, representatives, and other users with respect; and
  • comply with all applicable Laws and third-party Terms.

Use the Website only as permitted by these Terms. You may NOT do any of the following unless applicable law prohibits the restriction or you have our prior written permission:

a. copy, reproduce, distribute, display, publish, modify, create derivative works from, sell, resell, or exploit any Content or portion of the Website except as expressly permitted by these Terms;
b. duplicate, change, break, decompile, reverse engineer, disassemble or decode the Website or any part thereof (including any underlying idea or algorithm), or attempt to do any of the same;
c. share, upload, distribute, transmit, display, perform, reproduce, duplicate or publish files that contain malicious code, viruses, corrupted files, or any other similar software or programs that may damage the operation of another’s computer, network, or the Website;
d. use, reproduce or remove any proprietary notations displayed on or through the Website (e.g., trademark or copyright notices);
e. use bots, scripts, automation tools, scraping tools, spiders, crawlers, or other automated or manual processes to access, monitor, copy, extract, harvest, or index the Website, Content, account information, pricing, product information, or service information;
f. use the Website for resale, lead generation, competitive intelligence, commercial solicitation, or any other commercial purpose not authorized by Consumer Cellular;
g. use the Website or any part thereof in any manner that could disable, overburden, damage, disrupt or impair the Website or any part thereof or interfere with any other party’s use of the Website or any part thereof, or use any device, software or routine that causes the same;
h. attempt to gain unauthorized access to, interfere with, overwhelm, burden, damage, disrupt, impair damage or disrupt or negatively impact the Website, accounts registered to other users, or the computer systems or networks connected to the Website or any part thereof;
i. use or attempt to use another person’s account or device without their permission;
j. circumvent, remove, alter, deactivate, degrade or thwart any technological measure or content protections of the Website or any part thereof;
k. use any robot, mods, hacks, spider, crawlers or other automatic device, process, software or queries that intercepts, “mines,” scrapes or otherwise accesses the Website or any part thereof to monitor, extract, copy or collect information or data from or through the Website, or engage in any manual process to do the same (in no event shall any robots.txt file or other such protocol be construed as granting written permission to engage in the conduct prohibited by this paragraph);
l. introduce any viruses, trojan horses, worms, logic bombs or other material which is malicious or technologically harmful;
m. use the Website for or post Content that is harassing, unethical, fraudulent, obscene, vulgar, abusive, profane, harmful, or otherwise objectionable or offensive, or violates other contractual or fiduciary rights, duties, or agreements;
n. share, upload, distribute, transmit, display, perform, reproduce, duplicate or publish deceptive, unfair or misleading statements, or unauthorized promotion (including, without limitation, chain letters or pyramid schemes, statements or material that constitutes junk mail, spam, or unauthorized advertising or promotional materials);
o. impersonate any person or entity, misrepresent your affiliation with any person or entity, or falsely suggest that you are affiliated with Consumer Cellular;
p. violate any applicable Laws in connection with your use of the Website or third-party terms;
q. use the Website in any way not expressly permitted by these Terms or applicable Additional Terms; or
r. encourage, assist, or enable any other person or entity to do any of the foregoing.

Consumer Cellular may investigate suspected violations of these Terms and may suspend, restrict, or terminate access to the Website or any account feature if Consumer Cellular believes that doing so is appropriate to protect the Website, Consumer Cellular, other users, third parties, or legal rights.

5. CONTENT ON THE SERVICES

5.1. Our Content.

The Website includes Our Content, which belongs to Consumer Cellular or its licensors. Subject to these Terms, Consumer Cellular grants you limited, revocable, non-exclusive, non-transferable permission to access and use the Website and Our Content for your personal, non-commercial use or authorized account use. Consumer Cellular and its licensors reserve all rights not expressly granted.

5.2. Your Content.

You are responsible for Your Content. If you submit, upload, post, transmit, or otherwise provide Your Content through the Website, you represent that you have the rights necessary to do so and that Your Content complies with these Terms and applicable law.

Unless otherwise agreed by Consumer Cellular in writing, the scope of the license you grant to Your Content hereunder is:

  • worldwide, meaning it’s valid all over the world;
  • non-exclusive, meaning you can give the same license to others;
  • royalty-free, meaning there are no royalties owed to you for this license (and, for the sake of clarity, Consumer Cellular may, but has no obligation to, provide or offer you compensation for, or opportunities for you to monetize, Your Content); and
  • irrevocable, meaning you can’t take it back.

Consumer Cellular may (but is not obligated to):

  • copy, use, transmit, broadcast, reproduce, publicly perform, and publicly display Your Content, including to save on the Website and its systems and show or make publicly available to other users;
  • modify and prepare derivative works based upon Your Content, including to edit them or make new versions of them;
  • otherwise use, distribute, commercialize, and exploit Your Content; and
  • sublicense, meaning grant any or all of these rights to other Consumer Cellular users / users of the Website, licensees or other third parties.

Consumer Cellular may exercise these rights for any lawful purpose including, without limitation, the purposes of:

  • operating and improving the Website, including to provide the Website to you and others, allow the Website to work as intended, and create new features and functionalities; and
  • promoting and marketing Consumer Cellular, the Website, its businesses, Our Content and Your Content.

The license above continues for as long as Your Content is protected by IP Laws.

5.3. Other People’s Content.

The Website may include Content from third parties. Third-party Content is provided for convenience only. Consumer Cellular does not control third-party Content and is not responsible for it, except as required by law. Your use of third-party products, services, websites, or content may be subject to third-party terms and policies.

5.4. Infringing Content.

If you believe that any user-generated Content or other material made available through the Website violates your copyright, please submit a notification in accordance with the DMCA, to Consumer Cellular’s DMCA Agent:

Notices related to trademarks, right of publicity, or IP matters may be sent to the same recipient.

If any of Your Content is taken down after we receive a DMCA notice, you can send a counter-notification as laid out in section 512(g) of the DMCA, and we may re-post Your Content in question.

We, in our discretion, when it’s appropriate, will disable or terminate the accounts of users who repeatedly infringe IP.

5.5. Reviews. We love when Your Content is feedback about experiences with us and/or our Products, as customer feedback helps us to improve our offerings and connect with our community. By submitting Your Content that contains a Review, you agree that:

  • The Review complies with these Terms;
  • you have actually used or experienced the product, service, or feature being reviewed;
  • the review reflects your honest opinions, findings, beliefs, or actual experience; and
  • you will clearly disclose (in easy to understand language and in an unavoidable place) if you received anything of value, including any Products for free, have a material connection to Consumer Cellular, or have any relationship that could affect the weight or credibility of your review.

We reserve the right not to post or delete any Review that we reasonably believe is fake or is:

  • unlawful; unrelated to the Products or services offered by us; clearly false or misleading; harassing or abusive, inappropriate with respect to race, gender, sexuality, ethnicity or another intrinsic characteristic; defamatory, libelous, or slanderous; violative of the Terms or applicable laws.

We reserve the right not to post or delete any Review that contains:

  • unlawful material; personal information; trade secrets, or privileged information; confidential commercial or financial information; personnel and medical files or similar information; records or information compiled for law enforcement purposes.

We try to check and publish Reviews after successful submission to us. If a Review is not published after you submitted it to us, it may have violated the Terms. Please be aware that Reviews on the Products may be viewable by others. We cannot guarantee that you will have any recourse generally to edit or delete any Review.

6. ISSUES, CLAIMS, RISKS, AND DISPUTES

6.1. Warranty Disclaimer.

We work to keep the Website useful, accurate, and available. However, for legal reasons, we provide the Website and Content without warranties. THE WEBSITE AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, OR ERROR-FREE OPERATION, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

6.2. Assumptions of Risk.

Certain parts of the Website may depend on third parties. The Website may rely on third-party networks, carriers, payment processors, shipping providers, device manufacturers, mapping services, analytics providers, advertising providers, chat providers, review platforms, accessibility tools, and other third parties. Consumer Cellular does not control those third parties and is not responsible for their acts, omissions, products, services, websites, or content, except as required by law.

Website Content is informational. Website Content may include general information about Consumer Cellular, products, services, plans, coverage, promotions, account tools, support resources, and related topics. Website Content is not a substitute for the applicable Wireless Customer Agreement, plan disclosures, product documentation, warranty terms, offer terms, or other Additional Terms.

6.3. Limitation of Liability.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CONSUMER CELLULAR WILL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR USE, ARISING OUT OF OR RELATING TO THE WEBSITE, CONTENT, THESE TERMS, OR YOUR USE OF OR INABILITY TO USE THE WEBSITE, EVEN IF CONSUMER CELLULAR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CONSUMER CELLULAR’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE WEBSITE, CONTENT, THESE TERMS, OR YOUR USE OF, OR INABILITY TO USE THE WEBSITE WILL NOT EXCEED $100.00.

IF APPLICABLE LAW DOES NOT ALLOW ALL OR ANY PART OF THE ABOVE LIMITATION OF LIABILITY TO APPLY TO YOU, THE LIMITATIONS WILL APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

6.4. Dispute Resolution. Prior to commencing, joining, or being joined (as either an individual litigant or the member of a class) to any judicial action that asserts a claim arising from, relating to, or in connection with the Website, Content, these Terms, or your use of or inability to use the Website, you agree to provide, in writing to the address listed below, notice of the claim. You further agree to include with that notice, your name, a way in which we can contact you (i.e., address, telephone number, email address, etc.), a description of your claim, and any documentation in your possession supporting your claim. You also agree that, in order to comply with this provision, you must submit your notice on behalf of yourself only and not as part of a class or group of individuals. You also agree to provide us with no fewer than 60 days from the date you submitted your claim to resolve it, whether by taking corrective action or compensating you for your alleged damages.

YOU AGREE THAT PROVIDING NOTICE OF YOUR CLAIM TO US AND ALLOWING US AT LEAST 60 DAYS TO ATTEMPT TO RESOLVE YOUR CLAIM IS A CONDITION PRECEDENT TO YOUR COMMENCING, JOINING, OR BEING JOINED TO ANY JUDICIAL ACTION AGAINST US, AS EXPLAINED ABOVE.

6.5. Class Action Waiver. IF, AFTER HAVING PROVIDED US NOTICE OF YOUR CLAIM AND AT LEAST 60 DAYS TO RESOLVE IT, YOU AND WE HAVE STILL NOT REACHED A RESOLUTION AND IF YOUR CLAIM EXCEEDS $1,000.00, YOU AGREE TO WAIVE YOUR RIGHT TO BRING OR PARTICIPATE IN A CLASS ACTION OR OTHER REPRESENTATIVE PROCEEDING WITH RESPECT TO YOUR CLAIM.

6.6. What Happens if You Break Our Rules.

If you violate these Terms or applicable law, Consumer Cellular may take appropriate action. Consumer Cellular may suspend, restrict, or terminate access to the Website or account features, cancel orders, remove Content, investigate suspected violations, cooperate with law enforcement, or take other steps Consumer Cellular believes are appropriate. If we do not take action right away, that doesn’t mean we give up any rights that we may have. We may take appropriate action in the future.

6.7. Termination.

Consumer Cellular may terminate or restrict access. Consumer Cellular may suspend, restrict, or terminate your access to the Website or any account feature if you violate these Terms, any Additional Terms, applicable law, or the rights of another person, or if Consumer Cellular determines that doing so is appropriate to protect the Website, Consumer Cellular, other users, third parties, or legal rights.

Upon termination or restriction of access, the permission granted to you to use the Website and Our Content will end immediately, but the license granted to Consumer Cellular for Your Content will survive to the extent necessary for the continued operation of the Website and the rights of users who have already accessed or used Your Content.

6.8. Indemnification.

If someone sues Consumer Cellular because of Your conduct, you may have to pay for its defense and legal fees. You agree to defend, indemnify and hold Consumer Cellular and any of its respective officers, directors, shareholders, employees, or independent contractors harmless from and against any claims asserted against it arising out of or relating to your use or actual or alleged misuse of the Website, violation of these Terms or Additional Terms, Your Content, your violation of applicable law, your violation of any rights of another person or entity, or your negligence or misconduct. This applies to all liabilities or expenses arising from claims, losses, damages, judgments, fines, litigation costs, and legal fees. You shall cooperate as fully as reasonably required in the defense of any such claim. Consumer Cellular reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you.

6.9. Governing Law and Forum. These Terms and any dispute arising out of or relating to the Website, these Terms, or your use of the Website will be governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

You and Consumer Cellular each irrevocably agree that the exclusive jurisdiction and venue with respect to any dispute arising out of or relating to the Website, these Terms, or your use of the Website shall be the federal or state courts of competent jurisdiction in the State of Delaware, and you consent to personal jurisdiction and venue in those courts.

Any such dispute and these Terms shall be governed by and construed in accordance with the substantive and procedural laws of the State of Delaware, except to the extent that federal law applies, without regard to choice or conflict of law principles.

7. NOTICE FOR CALIFORNIA USERS

Under California Civil Code Section 1789.3, California users of online services are entitled to the following specific consumer rights notice: The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 400 R Street, Suite 1080, Sacramento, California 95814, or by telephone at (916) 445-1254 or (800) 952-5210.

8. NOTICE TO NEW JERSEY USERS

The sections on indemnification and limitation of liability do not apply to New Jersey residents to the extent that New Jersey’s Truth-in-Consumer Contract, Warranty, and Notice Act (N.J.S.A. §§ 56:12-14 to 56:12-18) prohibits such application.

9. MISCELLANEOUS

9.1. Assignment. You may not assign or transfer any of your rights or obligations under these Terms, in whole or in part, by operation of law or otherwise, without our prior written permission. We may assign or transfer any of our rights or obligations hereunder without your permission and without notice to you.

9.2. Severability. If any clause within these Terms is found to be invalid, unenforceable, voidable, or illegal, that clause will be severed and the remainder of the Terms will be given full force and effect.

9.3. Entire Agreement. These Terms, together with any applicable Additional Terms, are the entire agreement between you and Consumer Cellular regarding the Website and supersede any prior agreements or understandings regarding the Website.

9.4. Survival. All provisions of these Terms that by their nature should survive termination will survive, including provisions regarding intellectual property, user content, disclaimers, limitation of liability, indemnification, governing law, forum, and miscellaneous terms.

9.5. Waiver. Consumer Cellular’s failure to enforce any right or provision of these Terms will not constitute a waiver of future enforcement of that right or provision. Any waiver must be in writing and signed by an authorized Consumer Cellular representative. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise.

9.6. Force Majeure. Consumer Cellular will not be responsible for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, natural disasters, weather events, war, terrorism, civil unrest, labor disputes, embargoes, pandemics, epidemics, quarantines, government actions, utility or network failures, carrier delays, supplier delays, cyber incidents, or other events beyond Consumer Cellular’s reasonable control. If we are unable to ship you an item you ordered because of such an event, we will address as required by law.
